Terms & Conditions

Last Updated: 25 October 2026

Welcome to Imprexis Media. These Terms & Conditions govern your access to and use of our website, https://www.imprexismedia.com/, and the services we provide. By accessing our website or engaging our services, you agree to these terms. If you do not agree, please discontinue use of our website and services.

1. About Imprexis Media

Imprexis Media provides digital marketing and online business services, which may include:

  • Search Engine Optimisation (SEO)

  • Website design and development

  • Google Ads and paid advertising

  • Social media marketing and management

  • Brand identity and graphic design

  • Content creation and digital strategy

  • Analytics, reporting, and related consulting services

The exact scope of any project will be confirmed separately through a proposal, quotation, service agreement, or other written communication.

2. Use of Our Website

You agree to use our website only for lawful purposes. You must not:

  • Use the website in a way that violates applicable laws or regulations.

  • Attempt to gain unauthorised access to our website, server, or systems.

  • Introduce malicious code, viruses, or harmful material.

  • Interfere with website functionality, security, or other users’ access.

  • Copy, reproduce, or exploit website content for commercial purposes without our written permission.

We reserve the right to restrict access to our website where reasonably necessary to protect its security or integrity.

3. Enquiries and Communication

When you submit an enquiry, request a quotation, or contact us through our website, you agree to provide accurate and complete information.

Submitting an enquiry does not automatically establish a client relationship or guarantee that we will accept your project. We may contact you using the information you provide to discuss your requirements, prepare a proposal, or respond to your questions.

4. Services and Project Scope

Our services will be provided according to the scope, deliverables, timelines, and fees agreed upon in writing.

Any additional work, revisions, new features, or changes outside the agreed scope may require additional fees or an updated timeline.

We will make reasonable efforts to deliver services professionally and within agreed timelines. However, delivery dates may change due to delayed client feedback, missing materials, third-party issues, or circumstances beyond our reasonable control.

5. Pricing and Payments

Prices, payment schedules, deposits, and applicable taxes or other charges will be communicated in the relevant quotation, invoice, or service agreement.

Unless otherwise agreed in writing:

  • Payments must be made according to the agreed payment schedule.

  • Work may begin after the required advance payment or deposit is received.

  • Additional requests outside the agreed scope may incur additional charges.

  • Delayed payments may result in a pause or suspension of services after reasonable notice.

  • Any applicable taxes will be handled in accordance with relevant laws and the agreed commercial terms.

Project-specific payment, cancellation, refund, or late-payment provisions in a signed agreement or accepted quotation will take precedence over these general terms to the extent permitted by law.

6. SEO and Digital Marketing Results

Digital marketing performance depends on multiple factors, including competition, market conditions, budgets, audience behaviour, website quality, and third-party platform decisions.

We do not guarantee specific search engine rankings, website traffic levels, advertising performance, lead volumes, sales figures, or revenue.

SEO results may take time to develop and can fluctuate due to search engine algorithm changes and other factors. Advertising and social media results can also vary over time.

We will use reasonable professional efforts to carry out the agreed work and communicate relevant performance information where included in the service.

7. Google Ads and Third-Party Advertising Platforms

Advertising services may depend on Google Ads, Meta, and other third-party platforms.

The client is responsible for approving advertising budgets and campaign objectives. Unless explicitly included in our written agreement, advertising spend paid to third-party platforms is separate from our service fees.

We are not responsible for third-party platform outages, account suspensions, policy changes, rejected advertisements, algorithm updates, or other decisions outside our control. We will make reasonable efforts to help clients understand and address relevant issues within the agreed scope.

8. Client Responsibilities

To help us deliver services effectively, clients agree to:

  • Provide accurate business information, content, images, and other required materials.

  • Ensure they have the necessary rights and permissions to use supplied materials.

  • Provide timely feedback, approvals, and access to relevant accounts.

  • Maintain the security of their passwords and account credentials.

  • Ensure that their products, services, advertising claims, and business activities comply with applicable laws.

  • Review and approve deliverables before publication or launch where approval is required.

Delays caused by missing information, approvals, or access may affect project schedules and delivery.

9. Website Content and Intellectual Property

Unless otherwise agreed in writing, all content, designs, branding, graphics, text, code, and other materials on our website are owned by or licensed to Imprexis Media and are protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, or commercially exploit our website materials without prior written permission, except where permitted by law.

Ownership and usage rights for client-specific deliverables will be determined by the applicable proposal, invoice, or service agreement. Third-party assets, fonts, software, plugins, and stock materials may remain subject to their respective licence terms.

We may request permission before displaying completed client projects in our portfolio or marketing materials.

10. Confidentiality

We will take reasonable steps to protect confidential business information shared with us during a project.

Clients should clearly identify information that requires confidential treatment. Confidentiality obligations may be further defined in a separate non-disclosure agreement or service contract.

Information that is publicly available, independently developed, or required to be disclosed by law may not be subject to the same confidentiality restrictions.

11. Third-Party Websites and Services

Our website may contain links to third-party websites, tools, or platforms. These links are provided for convenience or informational purposes.

We do not control third-party websites or guarantee their availability, accuracy, security, or content. Your use of third-party services is governed by their own terms, policies, and applicable licences.

12. Privacy and Data Protection

Our collection and use of personal information are described in our Privacy Policy.

By using our website or submitting an enquiry, you acknowledge that your information may be handled as explained in that policy, subject to applicable data protection laws.

Please review our Privacy Policy for further information about personal information, cookies, data retention, and privacy-related requests.

13. Limitation of Liability

To the extent permitted by applicable law, Imprexis Media will not be liable for indirect, incidental, special, or consequential losses arising from the use of our website or services, including loss of profits, revenue, business opportunities, data, or anticipated savings.

We are not responsible for losses arising from third-party platforms, search engine changes, advertising account decisions, hosting failures, or circumstances beyond our reasonable control.

Nothing in these terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law. Any additional liability provisions agreed in a separate service agreement will apply as specified in that agreement.

14. Indemnification

To the extent permitted by applicable law, clients agree to be responsible for claims, losses, or expenses arising from materials they provide, unlawful use of our services, infringement of third-party rights, or violation of these terms.

This provision does not apply to the extent a claim results from our own unlawful conduct or other circumstances for which liability cannot legally be excluded.

15. Suspension and Termination

Either party may terminate a project or service according to the applicable written agreement.

We may suspend or terminate access to our website or services where reasonably necessary because of unlawful activity, security risks, material breach of these terms, or non-payment, subject to applicable law and any agreed notice requirements.

Any outstanding fees, payment obligations, confidentiality requirements, and intellectual property provisions intended to survive termination will remain applicable.

16. Changes to These Terms

We may update these Terms & Conditions from time to time to reflect changes in our services, business operations, website functionality, or legal requirements.

Updated terms will be published on this page with a revised “Last Updated” date. Your continued use of our website after changes are published constitutes acceptance of the revised terms to the extent permitted by applicable law.

Changes to an existing client project or signed agreement will be handled according to that agreement and applicable law.

17. Governing Law and Disputes

These terms are intended to operate subject to the laws applicable to the relevant transaction and the parties involved.

Any dispute relating to our website or services should first be raised with us so that both parties can attempt to resolve it in good faith. If a dispute cannot be resolved informally, it will be handled by the competent courts or dispute-resolution mechanism applicable under the relevant agreement and law.

Where necessary, the governing law and jurisdiction for a specific client engagement should be expressly stated in the applicable service agreement.
